　　(a)PaymentbyBuyerwillbemadefollowingissuanceofaPOandacceptanceofProductsbyBuyer,and,whereapplicable,receiptofSupplier’sinvoice.ForpurposesofProductsthatareequipment,“acceptance”shallmeanthattheequipmentisinstalledinBuyer’splantandmeetsallapplicablecontractualterms.UnlessBuyerdirectsotherwise,ifSupplierisrequiredtosubmitaninvoiceforpayment,SuppliershalluseBuyer’se-InvoicingsystemonSupplierNet.

　　(b)InadditiontoanyotherrightsthatBuyermayhaveunderthisContract,BuyermaychargeSupplierifSupplierfailstosubmitaccurateinvoices,reportsorotherdocumentsordatarequiredbyBuyer.TheintentofthesechargesistoreimburseBuyerfortheadditionalout-of-pocketcostsassociatedwithauditingandotherwisecorrectingoraccommodatingSupplier’sfailuretocomplywiththerequirementsofthisSection.SuchpaymentsareintendedasagoodfaithdefrayalbySupplierofBuyer’sadditionalcostsandnotasawaiveroforsubstituteforthepaymentofanydamagesorindemnityotherwiseprovidedunderthisContract.EACHPAPERINVOICERECEIVEDBUTNOTAPPROVEDBYACCOUNTSPAYABLESHALLBEASSESSEDreasonableprocessingfee.BuyershallhavenoobligationtopayforProducts,anyinstallationofProducts,ifapplicable,orservicesifBuyerreceivesrequiredinvoicesmorethansixmonthsafterSupplierisrequiredtosubmitsuchinvoicesorifrelevantaccountscannotbereconciledwithinsixmonthsofreceiptofProductduetothefaultofSupplier.

　　(c)IfSupplierreceivespaymenthereunderearlierthantheordinarynetdateinexchangeforadiscount,thefollowingprovisionsshallapply:GEConsumer&Industrialhasassigneditsright,titleandinterestinthisContractandtherelatedProductstoGeneralElectricCapitalCorporation("GECapital").AftertitletotheProductshaspassedtoGECapital,GECapitalshallassignitsright,titleandinteresttotheProductsandthisContracttoGEConsumerandIndustrial.Allwarranties,eitherexpressorimplied,providedwithrespecttotheProducts,shallberetainedbyGEConsumerandIndustrial.SupplierremainsobligatedtoperformallofitsobligationsunderthisContractnotwithstandingtheseassignmentsandGEConsumerandIndustrialmayre
